1. Acceptance of Terms

By accessing or using our website (`https://appliedai-agency.com/`) or engaging with Applied AI ("we," "us," or "our") for AI automation and lead generation services (the "Services"), you ("Client," "you," or "your") agree to be bound by these Terms of Service. If you represent a business, you warrant you have authority to bind that entity. Do not use our Services if you disagree with these terms.

2. Services Description

We provide:

- AI-driven business process automation (e.g., workflow optimization, data processing).

- B2B lead generation services (e.g., identifying prospects, contact enrichment).

All Services are exclusively for business-to-business (B2B) use. We do not target consumers (B2C).

3. Eligibility

You must:

- Be at least 18 years old.

- Operate as a business entity (not an individual consumer).

- Have full legal authority to enter this agreement.

We reserve the right to verify eligibility and terminate accounts violating this clause.

4. Account Registration

- You may need to provide accurate business information (e.g., company name, work email) to access Services.

- You are responsible for maintaining account security and all activities under your account.

- Notify us immediately of unauthorized access at `[email protected]`.

5. Payment Terms

- Fees for Services are specified in your signed order form or invoice.

- Payment is due within 15 days of invoice date. Late payments incur 1.5% monthly interest.

- We use Stripe for secure payment processing. We do not store your full credit card details.

- All fees are non-refundable except as required by law.

6. Intellectual Property

- Our IP: All software, tools, reports, and AI models ("Applied AI Technology") are our exclusive property. You receive a limited, non-exclusive license to use outputs solely for your business operations.

- Your Data: You retain ownership of data provided to us (e.g., CRM lists, campaign parameters). By submitting data, you grant us a license to process it solely to deliver Services.

- AI Outputs: All lead lists, automation results, or generated content ("Outputs") are your property upon full payment.

7. Data Processing

- When processing data on your behalf (e.g., running lead campaigns using your CRM data), we act as a data processor under a separate Data Processing Addendum (DPA).

- You warrant all data provided complies with applicable privacy laws (e.g., GDPR, CCPA).

- We implement technical/organizational security measures per our Privacy Policy.

8. Prohibited Activities

You agree not to:

- Use Services for illegal, deceptive, or B2C (consumer) purposes.

- Reverse-engineer, scrape, or disrupt our systems.

- Input sensitive personal data (e.g., health, ethnicity) into our AI tools.

- Use lead generation outputs to spam or violate anti-spam laws (e.g., CAN-SPAM, GDPR).

9. Disclaimers

SERVICES ARE PROVIDED "AS IS." WE DISCLAIM ALL WARRANTIES, INCLUDING:

- Accuracy of AI-generated leads or automation results.

- Uninterrupted or error-free service.

- Fitness for a particular purpose.

AI outputs may contain inaccuracies; you are solely responsible for verifying and using them lawfully.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

- We are not liable for any indirect, incidental, or consequential damages (e.g., lost profits, data loss).

- Our total liability for all claims is capped at the fees you paid us in the last 6 months.

- These limitations apply even if advised of potential damages.

11. Termination

- Either party may terminate with 30 days’ written notice for material breach.

- We may suspend Services immediately for non-payment, illegal activity, or security risks.

- Upon termination, you must pay all outstanding fees. Sections 6 (IP), 9 (Disclaimers), and 10 (Liability) survive.

12. Governing Law & Disputes

- For US Clients: Governed by Wyoming law. Disputes resolved in courts of Sheridan County, WY.

- For UK Clients: Governed by English law. Disputes resolved in courts of London, UK.

- Class Action Waiver: All disputes must be brought individually (no class/jury trials).

13. Modifications

We may update these Terms with 30 days’ notice via email or website posting. Continued use after changes constitutes acceptance.

14. Entire Agreement

These Terms, your order form, and our Privacy Policy/DPA form the complete agreement. Conflicts are resolved in favor of signed agreements.
